General Terms

1. Agreement

These General Terms govern access to combine-chain.digital and engagement proposals issued by Combine Chain (“we”, “us”) to corporate clients in Korea. By requesting information or submitting forms, you confirm authority to bind your organization where applicable.

2. Services description

Materials on this site describe retail execution audit and trade marketing support services. Statements are illustrative; binding scope, fees, and deliverables appear only in a countersigned statement of work (SOW).

3. Client responsibilities

Clients provide lawful access to stores, accurate planograms, timely feedback, and personnel safe working conditions. Clients remain responsible for retailer permissions and personal data they upload to shared workspaces unless otherwise stated in an SOW.

4. Intellectual property

Site content, methodologies, templates, and anonymized aggregate methods remain our intellectual property unless an SOW assigns specific deliverables to you. You receive a non-exclusive license to use deliverables for internal business purposes within the scope purchased.

5. Confidentiality

Each party protects the other’s confidential information using reasonable care for at least three years from disclosure, subject to longer statutory duties where applicable under Republic of Korea law.

6. Limitation of liability

To the maximum extent permitted under Korean law, our aggregate liability arising from any SOW in a twelve-month period is limited to fees paid for that SOW, excluding indirect, consequential, or punitive damages except where prohibited.

7. Governing law and disputes

These terms are governed by the laws of the Republic of Korea without regard to conflict-of-law rules. Courts in Daegu have non-exclusive jurisdiction unless a signed SOW specifies arbitration (e.g., KCAB) with seat in Seoul.

8. Changes and termination

We may update these General Terms with a revised “last updated” date. For active SOWs, the version in effect at signing applies unless both parties agree otherwise. Either party may terminate an SOW for material breach after written cure period of fifteen business days.
